Saikospeed Community Terms and Conditions

Operator: Happy Racer LLC d/b/a Saikospeed, Saikospeed Community, and related brands ("Happy Racer," "Saikospeed," "we," "us," or "our")

Platform: Saikospeed Community, including community.saikospeed.com and any related websites, mobile experiences, features, groups, chats, profiles, build pages, forums, media tools, artificial intelligence features, and community services (collectively, the "Services").

These Terms and Conditions (the "Terms") govern your access to and use of the Services. By creating an account, accessing the Services, posting content, uploading media, joining a group, participating in chats, using artificial intelligence features, or otherwise using the Services, you agree to these Terms.

Your access to and use of the Services is conditioned on your acceptance of these Terms.

1. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the consent and supervision of a parent or legal guardian.

By using the Services, you represent that:

1. You are legally able to agree to these Terms;
2. The information you provide to us is accurate and current;
3. You will comply with all applicable laws and regulations; and
4. You have not previously been suspended, banned, or removed from the Services unless we have given you written permission to return.

The Services are intended for users who are at least 13 years old. We do not knowingly allow children under 13 to create accounts or use the Services.

1.1 Minors, Parental Supervision, and Age Controls

If you are under the age of majority where you live, your parent or legal guardian should review these Terms and supervise your use of the Services.

We may request age-related information, apply age-based settings, limit features, disable accounts, or deny access if we believe an account is being used by someone who is not eligible to use the Services. We may also provide safety, privacy, notification, recommendation, messaging, or visibility settings that differ for minors or suspected minors.

A parent or legal guardian may contact us at support@saikospeed.com to request review of an account they believe belongs to a child under 13 or to request assistance regarding a minor's account.

2. Accounts and Security

You may need an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree not to:

1. Create an account using false, misleading, or impersonated information;
2. Share your account with others;
3. Sell, transfer, or assign your account without our written permission;
4. Access another user's account without authorization; or
5. Use the Services if your account has been suspended or terminated.

You must notify us promptly if you believe your account has been compromised.

3. Community Nature of the Services

Saikospeed Community is a social media and automotive enthusiast platform. The Services may allow users to create profiles, upload photos or videos, post build information, comment, message, react, follow users, join communities, participate in groups, use artificial intelligence tools, and otherwise interact with other users.

You understand that content posted by users may be visible to other users or the public depending on the feature, your settings, and the design of the Services. You should exercise caution before posting or uploading content, including content that may be copied, screenshotted, downloaded, shared, discussed, indexed, or otherwise retained by other users or third parties.

3.1 Social Features, Recommendations, Notifications, and Healthy Use

The Services may include feeds, recommended content, trending content, notifications, badges, comments, likes, follows, direct messages, groups, chats, rankings, discovery tools, and other social features.

These features are provided for community interaction, information sharing, and entertainment. They are not medical, mental health, counseling, crisis, safety, or professional advice services. We do not represent that the Services are appropriate for every user, age group, health condition, or personal circumstance.

You are responsible for how you use the Services. You may choose to stop using the Services, mute, block, unfollow, leave groups, disable notifications where available, report content, or contact us for account support. We may modify, limit, suspend, or remove feeds, recommendations, notifications, messaging, or other features at any time for safety, legal, product, business, or community reasons.

If you believe you may be experiencing a medical, mental health, safety, self-harm, or emergency issue, contact a qualified professional, crisis hotline, or emergency services. The Services are not a substitute for emergency assistance.

4. User Content

"User Content" means any content, material, or information that you submit, upload, post, publish, display, transmit, input, generate, or otherwise make available through the Services, including but not limited to:

1. Photos, videos, images, screenshots, graphics, and audio;
2. Vehicle build profiles, part lists, specifications, fitment data, wheel and tire information, dyno charts, and modification details;
3. Wheel Lab uploads, masks, cutouts, overlays, renderings, saved projects, wheel and vehicle configurations, comparison images, virtual dyno data, generated previews, and other tool results;
4. Comments, posts, messages, captions, usernames, display names, profile photos, reactions, and community activity;
5. Prompts, instructions, inputs, files, images, media, and other materials submitted to artificial intelligence features;
6. Product reviews, testimonials, feedback, questions, and support requests; and
7. Any other files, media, data, or assets uploaded to or generated through the Services.

4.1 You Keep Ownership of Your Content

Except for the rights you grant us in these Terms, you retain whatever ownership rights you may have in your User Content.

4.2 License You Grant to Happy Racer LLC

By submitting, posting, uploading, inputting, generating, creating, saving, or otherwise making User Content available through the Services, you grant Happy Racer LLC a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, fully transferable, and sublicensable license, including through multiple tiers of sublicensees, to host, store, upload, reproduce, copy, display, publicly display, perform, publish, distribute, transmit, broadcast, modify, adapt, crop, resize, reformat, translate, analyze, index, cache, archive, create derivative works from, commercialize, and otherwise use and exploit your User Content in connection with the Services, Happy Racer LLC, Saikospeed, Saikospeed Community, related brands, products, features, tools, marketing, advertising, analytics, internal systems, and business operations, including for the following purposes:

1. Operating, providing, maintaining, securing, and improving the Services;
2. Displaying your User Content to other users and the public as part of the Services;
3. Moderating, reviewing, investigating, enforcing, and protecting the Services and our users;
4. Backing up, archiving, indexing, caching, and technically processing your User Content;
5. Developing, testing, improving, and operating internal systems, tools, search, ranking, recommendation, moderation, safety, support, analytics, and artificial intelligence features; and
6. Marketing, advertising, promoting, and showcasing Happy Racer LLC, Saikospeed, Saikospeed Community, related brands, the Services, community features, events, user builds, products, and campaigns.

This license includes the right to use public User Content in promotional materials, including but not limited to our websites, social media accounts, email campaigns, advertisements, product pages, community pages, event materials, press materials, and other marketing channels.

This license survives deletion of User Content, deactivation or deletion of your account, termination of these Terms, and any sale, merger, acquisition, reorganization, assignment, transfer, or other disposition of all or part of Happy Racer LLC, Saikospeed, the Services, or related business assets, except where applicable law requires otherwise or where we agree otherwise in writing.

4.3 Name, Likeness, and Vehicle Use

If your User Content includes your username, display name, profile image, likeness, voice, vehicle, build, captions, comments, or other identifying elements, you grant Happy Racer LLC permission to use those elements in connection with the uses described in these Terms, including promotional use, without additional notice, approval, payment, or compensation to you.

4.4 Content You Delete

If you delete User Content, we may stop displaying it in the ordinary course of operating the Services. However, you understand and agree that deleted User Content may continue to exist in backups, caches, archives, logs, screenshots, shared posts, reposts, quoted content, moderation records, legal records, security records, artificial intelligence system logs, derivative works, analytics, internal tools, materials already created or distributed before deletion, or other records retained for legitimate business, safety, legal, compliance, or technical reasons.

The license granted in Section 4.2 is perpetual and irrevocable to the maximum extent permitted by law. For promotional materials, derivative works, tool outputs, internal systems, analytics, backups, archives, logs, safety records, moderation records, legal records, or other materials created before deletion, we may continue using those materials unless otherwise required by law or unless we agree otherwise in writing.

4.5 Private and Non-Public Content

We may store, process, access, and review private or non-public uploads, messages, prompts, inputs, files, account information, and related metadata when reasonably necessary to operate the Services, provide support, investigate abuse, enforce these Terms, comply with law, protect users, protect Happy Racer LLC, or maintain platform safety and security.

The license granted in Section 4.2 applies to private and non-public User Content for operational, safety, moderation, security, legal, support, analytics, artificial intelligence, product development, troubleshooting, backup, archive, compliance, and business-transfer purposes. We do not intend to use private messages or clearly non-public support communications in public promotional materials without additional permission, except where content has been anonymized, aggregated, or otherwise used in a way that does not reasonably identify you.

4.6 Sensitive Content, Identifiable People, and License Plates

You should not upload, post, transmit, or input highly sensitive personal information through the Services unless the feature specifically requests it and you are comfortable sharing it. This includes information such as Social Security numbers, government identification numbers, payment card numbers, financial account details, passwords, private medical information, private legal information, private addresses, or other confidential information.

You are responsible for blurring, removing, or obtaining permission for any identifiable people, license plates, private locations, private messages, shop records, invoices, or other sensitive details shown in your User Content where appropriate or legally required.

4.7 Biometric Information and Face Recognition

Unless we provide a separate notice and obtain any consent required by law, we do not intend to use uploaded photos, videos, or images to create biometric identifiers, biometric templates, faceprints, voiceprints, or facial recognition profiles.

If we later offer features involving biometric identifiers, face recognition, identity verification, or similar technology, those features should be governed by separate notices, consents, settings, and policies where required by law.

4.8 Your Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

1. You own your User Content or have all necessary rights, licenses, permissions, and releases to post it and grant us the rights described in these Terms;
2. Your User Content does not infringe, misappropriate, or violate anyone else's copyright, trademark, privacy rights, publicity rights, contract rights, or other rights;
3. You have permission from any identifiable person appearing in your User Content;
4. You have permission to post any vehicle, license plate, location, shop, brand, product, or third-party content shown in your User Content, where permission is legally required;
5. Your User Content is accurate to the best of your knowledge and is not fraudulent, deceptive, or misleading; and
6. Your User Content complies with these Terms and all applicable laws.

We are not responsible for User Content posted by users.

4.9 Wheel Lab, Vehicle Tools, and Generated Results

If you use Wheel Lab, virtual dyno tools, fitment tools, AI tools, image tools, calculators, comparison tools, or other vehicle-related tools, you understand that uploads, masks, selections, configurations, measurements, fitment information, generated previews, overlays, renderings, charts, results, saved projects, and other outputs are User Content, Service-generated outputs, or both, and are subject to these Terms.

We may use this information to operate, save, display, reproduce, modify, improve, test, promote, troubleshoot, analyze, commercialize, and develop the Services, including related tools, recommendation systems, fitment systems, product discovery features, moderation systems, safety systems, advertising systems, and promotional materials, subject to the privacy and public/private content limitations described in these Terms.

5. Artificial Intelligence Features

The Services may include, integrate with, or make available artificial intelligence, machine learning, automated decision-support, automation, search, recommendation, content generation, image analysis, moderation, safety, support, fitment, personalization, or assistant features (collectively, "AI Features"). AI Features may be provided by Happy Racer LLC, third-party service providers, open-source systems, hosted models, or a combination of these technologies.

5.1 AI Outputs May Be Inaccurate

AI Features may generate, classify, summarize, recommend, moderate, transform, or display information that is inaccurate, incomplete, outdated, biased, offensive, unsafe, unsuitable, misleading, or inconsistent with your expectations. AI Features may misunderstand your input, misidentify images or vehicle parts, provide incorrect fitment information, omit important context, generate similar or identical responses for different users, or produce content that does not reflect the views of Happy Racer LLC.

You are solely responsible for reviewing and verifying any output, recommendation, classification, summary, image analysis, fitment suggestion, product suggestion, build suggestion, moderation notice, or other result generated by AI Features before relying on it, publishing it, purchasing a product, modifying a vehicle, operating a vehicle, or taking any other action.

5.2 No Professional, Safety-Critical, or Automotive Reliance

AI Features are provided for convenience, community interaction, discovery, experimentation, and general informational purposes only. AI Features are not a substitute for professional advice, expert inspection, legal advice, medical advice, financial advice, engineering judgment, mechanical expertise, tuner review, installer review, manufacturer instructions, vehicle safety inspection, emissions compliance review, or roadworthiness evaluation.

You should not rely on AI Features for safety-critical decisions, legal compliance, vehicle fitment verification, installation procedures, tuning decisions, torque specifications, brake, wheel, tire, suspension, engine, drivetrain, electrical, airbag, restraint, steering, emissions, or other vehicle systems where inaccurate information could result in property damage, vehicle damage, regulatory violations, injury, or death.

5.3 Inputs, Outputs, and Data Processing

Prompts, instructions, images, files, messages, metadata, and other materials submitted to AI Features may be processed, stored, reviewed, logged, analyzed, transmitted to service providers, or used to operate, maintain, secure, monitor, improve, and enforce the Services, as described in these Terms, our Privacy Policy, and any applicable feature notices.

You should not submit confidential, proprietary, legally privileged, regulated, highly sensitive, or third-party information to AI Features unless you have the right to do so and are comfortable with the information being processed as described by us.

Subject to these Terms, applicable law, and the rights of others, you retain any rights you may have in your inputs. To the extent permitted by applicable law and subject to any third-party rights, we assign to you any rights we may have in AI outputs generated specifically for you through the Services. However, AI outputs may not be unique, may be similar or identical to outputs provided to other users, and may not qualify for intellectual property protection.

We do not represent or warrant that AI outputs are non-infringing, protectable, exclusive, commercially usable, accurate, safe, legal, or suitable for your intended purpose.

5.4 Third-Party AI Providers

AI Features may rely on third-party providers, models, APIs, infrastructure, hosting services, or software. Your inputs and outputs may be processed by those providers to provide the AI Features. Third-party providers may have their own terms, privacy policies, data retention practices, acceptable use policies, technical limitations, safety systems, and service availability.

We are not responsible for third-party AI providers, models, infrastructure, outages, errors, limitations, security incidents, data practices, or outputs, except to the extent required by applicable law.

5.5 AI Moderation and Automated Tools

We may use automated systems, artificial intelligence, machine learning, classifiers, rules-based systems, human review, or a combination of these methods to detect, flag, rank, restrict, remove, recommend, or moderate content, accounts, messages, uploads, images, activity, and other platform behavior.

These systems may make mistakes, including false positives and false negatives. We do not guarantee that moderation, recommendation, ranking, filtering, safety, or abuse-detection systems will identify or prevent all harmful content, illegal activity, unsafe conduct, scams, harassment, exploitation, or policy violations.

5.6 Prohibited Uses of AI Features

You may not use, attempt to use, or assist others in using AI Features to:

1. Violate these Terms, applicable law, or the rights of others;
2. Generate, facilitate, or conceal harassment, threats, abuse, hate, exploitation, fraud, spam, phishing, scams, malware, or security attacks;
3. Create or distribute non-consensual intimate content, sexualized edits of real people, deepfakes, impersonations, defamatory content, or deceptive media;
4. Generate or facilitate child sexual abuse material, grooming, sexual solicitation of minors, sextortion, trafficking, or exploitation;
5. Obtain instructions for illegal activity, evading law enforcement, unsafe vehicle operation, street racing, reckless driving, emissions tampering, theft, or fraud;
6. Bypass, disable, manipulate, jailbreak, or interfere with safety filters, moderation systems, security controls, rate limits, usage limits, or access restrictions;
7. Scrape, extract, reconstruct, or exfiltrate platform data, user data, confidential information, model weights, prompts, system instructions, source code, or non-public information;
8. Make automated decisions that have legal, employment, credit, housing, insurance, medical, safety, or similarly significant effects on a person; or
9. Misrepresent AI-generated content as human-generated where doing so would be deceptive, unlawful, or harmful.

5.7 Changes to AI Features

We may add, modify, restrict, suspend, disable, or discontinue any AI Feature at any time. We may also change models, providers, prompts, filters, settings, data handling, rate limits, outputs, or feature behavior without prior notice, subject to applicable law.

6. Community Rules and Prohibited Conduct

You agree not to use the Services to post, upload, share, encourage, facilitate, or engage in any of the following:

6.1 Illegal, Harmful, or Dangerous Conduct

1. Illegal activity or content;
2. Threats, violence, harassment, stalking, bullying, intimidation, or abuse;
3. Content encouraging self-harm, violence, or harm to others;
4. Dangerous driving, street racing, reckless driving, evading law enforcement, or other illegal motorsport activity;
5. Instructions for illegal vehicle operation, emissions tampering, theft, fraud, evasion, or other unlawful conduct;
6. Content that creates a safety risk to users, the public, Happy Racer LLC, or third parties;
7. Sale, purchase, solicitation, distribution, or facilitation of illegal drugs, controlled substances, counterfeit goods, stolen goods, weapons, regulated items, or other illegal or restricted goods or services;
8. Terrorist, extremist, organized criminal, gang, trafficking, or violent extremist content, recruitment, support, coordination, or promotion;
9. Dangerous challenges, stunts, speed contests, speedometer screenshots, racing challenges, reckless driving content, or content that encourages others to perform unsafe vehicle activity.

6.2 Malicious Platform Activity

1. Hacking, exploiting, attacking, testing, scanning, or probing the Services without written permission;
2. Uploading malware, viruses, worms, logic bombs, scripts, or harmful code;
3. Attempting to bypass authentication, authorization, rate limits, bans, suspensions, security systems, moderation systems, or AI safety systems;
4. Scraping, crawling, harvesting, indexing, or collecting data from the Services without written permission;
5. Using bots, automation, fake accounts, account farms, or scripts to spam, manipulate, scrape, vote, follow, message, generate content, or otherwise abuse the Services;
6. Interfering with, overloading, disrupting, or damaging the Services or related infrastructure;
7. Reverse engineering, decompiling, copying, or attempting to extract source code, model weights, prompts, system instructions, non-public APIs, or other non-public technical materials from the Services except where legally permitted.

6.3 Fraud, Spam, and Commercial Abuse

1. Spam, scams, phishing, pyramid schemes, fake giveaways, fake listings, fake sponsorships, fraudulent links, or deceptive promotions;
2. Unauthorized advertising, solicitation, affiliate links, referral spam, or commercial promotion;
3. Impersonating Happy Racer LLC, Saikospeed, another user, a brand, a shop, a public figure, or any other person or entity;
4. Manipulating reviews, votes, engagement, likes, comments, follows, rankings, giveaways, sweepstakes, contests, entries, referrals, prize drawings, recommendations, or AI outputs;
5. Selling or trading accounts, badges, access, invites, or platform features without our written permission.

6.4 Abusive, Explicit, or Infringing Content

1. Hate speech, slurs, discriminatory content, or attacks based on protected characteristics;
2. Sexually explicit, pornographic, exploitative, or non-consensual intimate content;
3. Child sexual abuse material, sexualization or exploitation of minors, grooming, sexual solicitation of minors, sextortion, coercion, trafficking, or attempts to obtain sexual images or sexual conversations involving minors;
4. Doxxing, posting personal information without permission, or encouraging harassment of others;
5. Copyright-infringing, trademark-infringing, counterfeit, stolen, or unauthorized content;
6. Content that violates another person's privacy, publicity, intellectual property, or contractual rights;
7. Non-consensual intimate imagery, sexual deepfakes, sexualized edits of real people, or threats to publish intimate or private content.

6.5 Other Conduct We Consider Harmful

We reserve the right to determine, in our sole discretion, whether conduct or content is harmful, abusive, inappropriate, unsafe, or inconsistent with the purpose of the Services, even if it is not specifically listed in these Terms.

6.6 User-to-User Transactions, Meetups, and Offline Conduct

Unless we expressly provide an official Saikospeed transaction feature governed by separate terms, the Services are not a marketplace, escrow service, payment processor, background-check service, inspection service, or dispute-resolution service for user-to-user transactions.

You are solely responsible for your interactions with other users, including meetups, rides, sales, purchases, trades, sponsorship arrangements, collaborations, events, messages, and offline conduct. We do not guarantee any user's identity, background, qualifications, vehicle, parts, build claims, payment ability, product condition, legality, safety, or trustworthiness.

We may remove posts, groups, chats, or accounts that appear to involve scams, illegal transactions, unsafe meetups, fraud, harassment, trafficking, or other harmful conduct.

7. Moderation, Enforcement, Suspension, and Termination

We reserve the right, but do not have the obligation, to monitor, review, moderate, remove, restrict, edit, block, or refuse any User Content at any time, for any reason or no reason, with or without notice.

We may, in our sole discretion, take any action we believe is appropriate, including:

1. Removing or limiting visibility of User Content;
2. Issuing warnings;
3. Restricting features;
4. Temporarily or permanently suspending accounts;
5. Terminating accounts;
6. Blocking access to the Services;
7. Removing communities, groups, chats, posts, builds, comments, media, or AI-generated content;
8. Reporting conduct to law enforcement, regulators, rights holders, safety organizations, or affected parties;
9. Preserving records for legal, safety, security, or enforcement purposes; and
10. Taking any other action we deem necessary to protect users, Happy Racer LLC, the Services, or third parties.

We may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without notice, including if we believe you violated these Terms, created risk or legal exposure for us, harmed other users, abused the Services, or acted inconsistently with the purpose of the community.

You are not entitled to continued access to the Services. We are not liable to you for removing content, restricting features, suspending an account, terminating an account, or otherwise enforcing these Terms, except to the extent required by applicable law.

7.1 Safety Review, Preservation, and Reporting

We may use automated tools, artificial intelligence, human review, user reports, metadata, technical signals, or other methods to detect, prevent, investigate, and respond to abuse, fraud, spam, security incidents, illegal activity, exploitation, threats, or violations of these Terms.

We do not promise that we will review all User Content or detect every violation. However, when we believe action is appropriate, we may remove content, restrict visibility, disable features, preserve records, suspend accounts, terminate accounts, block access, or report information to law enforcement, regulators, rights holders, safety organizations, affected parties, or other appropriate recipients.

If we become aware of apparent child sexual abuse material, child exploitation, credible threats, illegal trafficking, or other serious illegal activity, we may preserve and disclose relevant content, account information, logs, metadata, and communications as permitted or required by law.

8. Reporting Abuse and Violations

Users may report content or conduct that they believe violates these Terms. We may review reports and take action at our discretion.

Submitting a report does not guarantee that we will remove content or take action. We may decline to act if we determine that the reported content does not violate these Terms or if action is not appropriate under the circumstances.

False, abusive, retaliatory, or bad-faith reports may result in account restrictions or termination.

9. Intellectual Property Rights

The Services, including software, interfaces, designs, logos, names, graphics, icons, text, features, databases, code, artificial intelligence systems, prompts, workflows, trademarks, service marks, and other materials owned or controlled by Happy Racer LLC, are protected by intellectual property and other laws.

Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, create derivative works from, publicly display, publicly perform, or otherwise exploit any part of the Services without our written permission.

The names "Happy Racer," "Saikospeed," "Saikospeed Community," and related logos, marks, branding, graphics, and product names are trademarks, trade names, or brand assets of Happy Racer LLC or its affiliates. You may not use them without our written permission.

10. Copyright Complaints and DMCA Policy

We respect intellectual property rights. If you believe content on the Services infringes your copyright, you may submit a copyright notice to our designated copyright contact.

Your notice should include:

1. Your physical or electronic signature;
2. Identification of the copyrighted work claimed to be infringed;
3. Identification of the allegedly infringing material and information reasonably sufficient for us to locate it;
4. Your contact information;
5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the copyright owner.

We may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.

If we remove your content due to a copyright complaint and you believe the removal was mistaken, you may submit a counter-notice as allowed by applicable law.

11. Privacy and Data Practices

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, store, disclose, and protect personal information.

By using the Services, you understand that Happy Racer LLC may collect, store, process, access, review, and retain information and assets associated with your account and activity, including uploads, photos, videos, build data, profile information, messages, prompts, AI inputs, AI outputs, logs, metadata, device information, IP addresses, and usage activity, as described in our Privacy Policy.

We may access, review, preserve, or disclose information when we believe it is reasonably necessary to:

1. Operate, maintain, secure, and improve the Services;
2. Provide customer support;
3. Moderate content and enforce these Terms;
4. Detect, prevent, or investigate fraud, spam, abuse, security incidents, or illegal activity;
5. Comply with law, legal process, or governmental requests;
6. Protect the rights, property, safety, and security of Happy Racer LLC, our users, or others; and
7. Complete a business transaction such as a merger, acquisition, financing, reorganization, asset sale, or similar event.

You should refrain from uploading, transmitting, or inputting information that you do not want us to store, process, access, review, or use as part of operating the Services.

11.1 No Promise of Absolute Privacy

Some features may feel private, including direct messages, private groups, drafts, uploads, AI prompts, AI outputs, or account settings. However, no online platform can guarantee absolute privacy or security. We may access, review, preserve, or disclose information as described in these Terms and our Privacy Policy, including for support, safety, security, legal compliance, moderation, abuse prevention, or platform operations.

You should not use the Services to store or transmit information that requires special confidentiality, such as medical records, legal files, financial account information, passwords, trade secrets, or highly sensitive personal information, unless a specific feature is designed for that purpose and you understand the risks.

11.2 Tracking, Analytics, Advertising, and Cookies

We may use cookies, pixels, SDKs, analytics tools, advertising tools, device identifiers, log data, and similar technologies as described in our Privacy Policy and Cookie Policy, if applicable. Where legally required, we will seek any required consent or provide required choices.

The Privacy Policy should explain what information we collect, why we collect it, how long we keep it, who we share it with, how advertising or analytics tools work, and what choices or rights users may have.

11.3 Sensitive Data and Inferences

We do not intend for users to upload highly sensitive personal information unless a feature specifically requests it. We also do not intend to infer sensitive traits such as health status, precise location, race, religion, sexual orientation, political views, or biometric identity from user uploads unless clearly disclosed and legally permitted.

12. Third-Party Content, Links, and Services

The Services may contain links to third-party websites, products, shops, brands, communities, embeds, APIs, artificial intelligence providers, tools, advertisements, or services. We do not control and are not responsible for third-party content, policies, practices, availability, accuracy, outputs, or security.

Your use of third-party services is at your own risk and may be governed by separate terms and privacy policies.

12.1 Advertising, Sponsorships, Promotions, and Endorsements

Users must clearly and honestly disclose paid promotions, sponsorships, affiliate relationships, free products, discounts, referral benefits, or other material connections where disclosure is required by law or platform rules.

You may not post fake reviews, fake testimonials, undisclosed paid endorsements, misleading sponsorship claims, deceptive product claims, manipulated engagement, or false statements about Saikospeed, Happy Racer LLC, another user, a brand, a shop, a product, or a vehicle build.

We may remove, label, limit, or restrict promotional content that we believe is misleading, undisclosed, fraudulent, unsafe, unauthorized, or inconsistent with the Services.

13. Automotive Content, Builds, Fitment, and Safety

The Services may include automotive content, build information, fitment data, product references, installation discussions, tuning discussions, performance discussions, AI-generated suggestions, and user opinions.

All automotive content on the Services is provided for general informational and community purposes only. Happy Racer LLC does not guarantee that any build, modification, product, part, fitment, installation, repair, tuning advice, AI output, or user recommendation is accurate, safe, legal, emissions-compliant, road-legal, or suitable for your vehicle.

You are solely responsible for verifying fitment, legality, safety, installation requirements, warranty impact, emissions compliance, and road-use legality before purchasing, installing, modifying, tuning, repairing, operating, or using any product or information discussed or generated through the Services.

Motorsports and vehicle modification can be dangerous. You assume all risks associated with vehicle modification, installation, racing, track use, off-road use, and reliance on community content or AI-generated content.

14. Purchases and Other Terms

The Services may link to or integrate with Saikospeed stores, product pages, membership programs, giveaways, sweepstakes, contests, promotions, events, subscriptions, or paid features. Purchases, memberships, subscriptions, warranties, returns, shipping, taxes, payments, credits, giveaways, sweepstakes, contests, promotions, and related transactions may be subject to separate terms, official rules, policies, or conditions.

If there is a conflict between these Terms and specific purchase, membership, giveaway, sweepstakes, contest, promotion, event, or feature-specific terms, the more specific terms or official rules will control for that transaction, program, promotion, or feature.

15. Giveaways, Sweepstakes, Contests, and Promotions

From time to time, Happy Racer LLC may offer giveaways, sweepstakes, contests, prize drawings, community promotions, membership promotions, or similar promotional programs through the Services or related Saikospeed channels (collectively, "Promotions"). Promotions may be subject to separate official rules, entry requirements, eligibility criteria, prize details, deadlines, winner selection procedures, verification requirements, tax disclosures, and other terms (collectively, "Official Rules").

If there is a conflict between these Terms and the Official Rules for a specific Promotion, the Official Rules will control for that Promotion. If no separate Official Rules are provided, this Section will apply to the Promotion to the maximum extent permitted by law.

15.1 No Purchase Necessary for Chance-Based Sweepstakes

Unless a Promotion is structured as a lawful skill-based contest or otherwise expressly permitted by applicable law, no purchase, payment, paid membership, subscription, store credit use, donation, or other consideration is required to enter or win a chance-based sweepstakes or prize drawing. A purchase, payment, paid membership, subscription, store credit use, donation, or other consideration will not increase your chances of winning a chance-based sweepstakes unless an equal free method of entry or equal free method of obtaining equivalent bonus entries is provided in the applicable Official Rules.

If a Promotion offers entries or bonus entries in connection with Apex+ membership, VIP status, verified purchase status, paid subscriptions, purchases, store credit, referrals, promotional activity, or other account activity, the applicable Official Rules will describe whether and how those entries are available, any alternate free method of entry, any entry limits, and any eligibility restrictions.

15.2 Eligibility

Unless the applicable Official Rules state otherwise, Promotions are open only to legal residents of the United States who are at least 18 years old and the age of majority in their state of residence at the time of entry. Promotions are void where prohibited or restricted by law.

Employees, officers, directors, contractors, representatives, and agents of Happy Racer LLC, Saikospeed, prize suppliers, promotion administrators, advertising or promotional agencies, and their immediate family members or household members may be ineligible to enter or win, as described in the applicable Official Rules.

We may limit or exclude participation from certain states, countries, territories, jurisdictions, or users where registration, bonding, translation, tax, age, privacy, consumer protection, gaming, gambling, sweepstakes, contest, or other legal requirements would apply or where we determine participation is not practical or lawful.

15.3 Entry Requirements and Limits

Promotion entry requirements may include having a Saikospeed Community account, completing onboarding, maintaining a public or eligible build profile, submitting required information, selecting or acknowledging a prize pool, completing a permitted entry action, or satisfying other requirements stated in the applicable Official Rules.

Entry limits, bonus entry rules, required build status, membership entry rules, alternate free entry methods, start dates, end dates, entry deadlines, winner selection dates, and other material terms will be stated in the applicable Official Rules or Promotion page. Entries that are late, incomplete, inaccurate, fraudulent, automated, duplicated, generated by scripts or bots, submitted through multiple accounts, or submitted in violation of these Terms or the Official Rules may be disqualified.

15.4 Winner Selection, Odds, and Notification

Unless the applicable Official Rules state otherwise, winners of chance-based sweepstakes will be selected by random drawing from among eligible entries received during the Promotion period. Odds of winning depend on the number of eligible entries received and any entry limits or bonus entry rules stated in the applicable Official Rules.

Potential winners may be notified through email, account notification, direct message, phone, or another method stated in the applicable Official Rules. A potential winner may be required to respond within a stated period, verify eligibility, provide a valid shipping address, provide tax information, sign an affidavit or declaration of eligibility, sign a liability and publicity release, and complete other required documentation. Failure to respond, verify eligibility, complete required documentation, or comply with these Terms or the Official Rules may result in disqualification and selection of an alternate winner.

15.5 Prizes, Prize Pools, and Substitutions

Promotion prizes, prize pools, approximate retail values, winner counts, prize selection procedures, substitution rules, and shipping terms will be described in the applicable Official Rules or Promotion page. If a Promotion uses a prize pool, winners may be allowed to choose from available prize pool items subject to availability, eligibility, inventory, shipping restrictions, and the applicable Official Rules. A prize pool does not guarantee that each winner will receive every listed item or that every listed item will be awarded unless expressly stated.

Prizes are not transferable, redeemable for cash, refundable, replaceable, or exchangeable except at our sole discretion or as required by law. We reserve the right to substitute a prize of equal or greater approximate retail value if a prize is unavailable, discontinued, delayed, restricted, unsafe, unlawful, impractical to ship, or otherwise cannot reasonably be awarded.

15.6 Taxes, Shipping, and Prize Conditions

Winners are solely responsible for all federal, state, local, and other taxes, fees, reporting obligations, customs duties, insurance, registration, installation, fitment, compliance, and other costs or expenses associated with accepting, receiving, installing, using, or disposing of a prize, except where prohibited by law or expressly stated otherwise in the applicable Official Rules.

We may require winners to provide a completed IRS Form W-9 or other tax documentation before awarding a prize. We may issue a Form 1099-MISC or other required tax form where required by law. If a winner does not provide required tax or verification information, the prize may be forfeited and an alternate winner may be selected.

Shipping may be limited to eligible jurisdictions stated in the Official Rules. We are not responsible for prizes that are delayed, lost, stolen, misdelivered, damaged after shipment, refused, undeliverable, seized, restricted by carrier rules, or returned due to incorrect or incomplete information provided by a winner, except to the extent required by applicable law.

15.7 Publicity Release

Except where prohibited by law, by entering a Promotion or accepting a prize, you grant Happy Racer LLC permission to use your name, username, display name, profile image, likeness, voice, city and state, vehicle, build, submitted content, prize information, statements, and Promotion participation for advertising, marketing, publicity, social media, website, community, and promotional purposes without additional notice, approval, compensation, or payment.

15.8 Disqualification and Promotion Integrity

We may disqualify any entrant, entry, account, or potential winner that we believe, in our sole discretion, has violated these Terms, violated the Official Rules, tampered with a Promotion, used bots, scripts, automation, multiple accounts, false identities, fraudulent information, vote manipulation, engagement manipulation, referral abuse, account farming, exploitative conduct, or otherwise acted in a manner that is unfair, deceptive, abusive, unlawful, or harmful to the integrity of a Promotion or the Services.

We may cancel, suspend, modify, extend, or terminate a Promotion if fraud, technical failures, security incidents, platform outages, legal restrictions, supply issues, force majeure events, human error, unauthorized intervention, or any other factor impairs or may impair the administration, security, fairness, legality, integrity, or proper operation of the Promotion.

15.9 Third-Party Platforms

Unless expressly stated otherwise in the applicable Official Rules, Promotions are sponsored by Happy Racer LLC and are not sponsored, endorsed, administered by, or associated with Instagram, Facebook, Meta, TikTok, YouTube, Google, Apple, X, Discord, Reddit, Shopify, or any other third-party platform, app store, social media service, payment provider, or marketplace. By participating, you understand that you are providing information to Happy Racer LLC and not to those third-party platforms, unless expressly stated otherwise.

16. Feedback and Suggestions

If you submit ideas, feedback, bug reports, feature requests, designs, suggestions, or other recommendations to us, you agree that we may use them without restriction, obligation, attribution, or compensation to you.

You grant Happy Racer LLC a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, sublicensable license to use, copy, modify, distribute, commercialize, and otherwise exploit any feedback or suggestions for any purpose.

16.1 Anti-Scraping, Data Mining, and AI Training Restrictions

You may not scrape, crawl, harvest, download, index, copy, aggregate, data mine, or collect content, profiles, messages, build data, vehicle data, images, videos, metadata, prompts, AI outputs, or other information from the Services without our prior written permission.

You may not use the Services or any content from the Services to train, fine-tune, evaluate, benchmark, or develop artificial intelligence systems, machine learning models, large language models, computer vision systems, datasets, search indexes, competitor products, or commercial databases without our prior written permission.

You may not bypass access controls, robots.txt, rate limits, technical restrictions, security measures, API limits, or content protections to access or collect platform data.

17. Beta Features and Availability

Some features may be experimental, unfinished, unavailable, or changed at any time. We may add, modify, suspend, discontinue, restrict, or remove any feature, community, group, account type, badge, tool, integration, AI Feature, or part of the Services at any time, with or without notice.

We do not guarantee that the Services will be uninterrupted, secure, error-free, available, compatible, or free of harmful components.

17.1 Platform Design and Feature Changes

We may design, test, change, rank, recommend, limit, remove, or discontinue features at any time, including feeds, recommendations, notifications, groups, chats, messaging, moderation tools, safety tools, AI Features, visibility settings, search, ranking, and discovery features.

We do not guarantee that recommendations, feeds, trending content, notifications, moderation systems, reporting systems, filters, safety tools, AI Features, or search results will be complete, accurate, appropriate, safe, unbiased, timely, or error-free.

You are responsible for your own use of the Services and for using available controls, including muting, blocking, unfollowing, leaving groups, reporting content, disabling notifications where available, or stopping use of the Services.

18. Disclaimers

The Services are provided on an "as is" and "as available" basis.

User Content, AI outputs, recommendations, feeds, comments, messages, profiles, build pages, product discussions, fitment discussions, event posts, and other community content may be inaccurate, offensive, unsafe, illegal, harmful, misleading, or inappropriate. We do not endorse, verify, guarantee, or assume responsibility for User Content, AI outputs, or third-party content.

To the maximum extent permitted by law, Happy Racer LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and any warranties arising from course of dealing or usage of trade.

We do not warrant that:

1. The Services will meet your requirements;
2. The Services will be uninterrupted, timely, secure, or error-free;
3. User Content or AI outputs will be accurate, safe, legal, non-infringing, unique, reliable, or suitable for any purpose;
4. Content will not be lost, deleted, corrupted, accessed, copied, or misused by others;
5. Defects or errors will be corrected;
6. The Services will be free of viruses, malware, or harmful components; or
7. Moderation, reporting, filtering, ranking, recommendation, safety, AI, or abuse-detection systems will identify or prevent all harmful content, illegal activity, unsafe conduct, scams, harassment, exploitation, or policy violations.

You use the Services at your own risk.

19. Limitation of Liability

To the maximum extent permitted by law, Happy Racer LLC and its owners, members, managers, officers, directors, employees, contractors, affiliates, agents, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal injury, property damage, vehicle damage, reputational harm, loss of use, or damages arising from or related to AI outputs, User Content, Promotions, prizes, prize pools, winner selection, winner verification, prize fulfillment, user interactions, third-party services, or reliance on information available through the Services, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Services or these Terms will not exceed the greater of:

1. The amount you paid directly to Happy Racer LLC for the Services giving rise to the claim during the three months before the claim arose; or
2. One hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. Nothing in these Terms is intended to waive rights or protections that cannot be waived under applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Happy Racer LLC and its owners, members, managers, officers, directors, employees, contractors, affiliates, agents, licensors, service providers, and partners from and against any claims, demands, actions, damages, losses, liabilities, costs, expenses, and fees, including reasonable attorneys' fees, arising out of or related to:

1. Your use or misuse of the Services;
2. Your User Content, including prompts, AI inputs, and AI-assisted content;
3. Your publication, distribution, reliance on, or use of AI outputs;
4. Your violation of these Terms;
5. Your violation of any law or regulation;
6. Your violation of another person's rights, including intellectual property, privacy, or publicity rights;
7. Your vehicle modifications, installations, repairs, driving, racing, track use, off-road use, or reliance on content from the Services;
8. Your participation in any Promotion, your entries, your prize claims, your receipt, installation, use, misuse, transfer, or disposal of any prize, or any claim arising from your violation of Promotion Official Rules; or
9. Any fraud, abuse, misconduct, or harmful activity by you or through your account.

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with our defense.

21. Release

To the maximum extent permitted by law, you release Happy Racer LLC and its owners, members, managers, officers, directors, employees, contractors, affiliates, agents, licensors, service providers, and partners from claims, demands, damages, losses, liabilities, and expenses arising out of or related to disputes with other users, User Content, AI outputs, Promotions, prizes, prize pools, winner selection, winner verification, prize fulfillment, third-party content, third-party services, vehicle modifications, automotive activities, or your use of the Services.

If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in the creditor's or releasing party's favor at the time of executing the release and that, if known by the creditor or releasing party, would have materially affected the settlement with the debtor or released party."

22. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully. It may require you and Happy Racer LLC to resolve disputes through binding individual arbitration instead of in court.

22.1 Informal Resolution

Before filing a claim, you agree to first contact us at support@saikospeed.com and provide a written description of the dispute, the relief requested, and your contact information. We will attempt to resolve the dispute informally.

22.2 Binding Arbitration

Except for claims that may be brought in small claims court, claims seeking injunctive relief for intellectual property misuse, or claims that cannot legally be arbitrated, any dispute, claim, or controversy arising out of or related to these Terms or the Services will be resolved by binding individual arbitration.

The arbitration will be conducted by JAMS under its applicable rules. The arbitration will take place in Natrona County, Wyoming, unless the parties agree otherwise or remote arbitration is permitted.

22.3 Class Action Waiver

You and Happy Racer LLC agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding.

22.4 Jury Trial Waiver

To the extent any dispute proceeds in court rather than arbitration, you and Happy Racer LLC waive any right to a jury trial to the maximum extent permitted by law.

22.5 Opt-Out

You may opt out of arbitration by sending written notice to support@saikospeed.com within 30 days after you first agree to these Terms. Your notice must include your name, account email, and a clear statement that you opt out of arbitration.

23. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise.

For disputes not subject to arbitration, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Natrona County, Wyoming, unless applicable law requires a different venue.

24. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means.

The updated Terms will be effective when posted unless a later effective date is stated. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.

If you do not accept the updated Terms, you should discontinue use of the Services.

25. Miscellaneous

These Terms, together with any policies or additional terms referenced in them, make up the entire agreement between you and Happy Racer LLC regarding the Services.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our written permission. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, or by operation of law.
